Please read these terms carefully before using the Paymera application.

1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Paymera Technologies LLC (“Paymera”, “we”, “our”, or “us”), governing your access to and use of the Paymera mobile application (the “App”) and all related services.

By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the App.

2. Eligibility and Account Registration

To use the App, you must meet the following requirements:

  • You must be at least eighteen (18) years of age. By registering, you represent and warrant that you are 18 or older
  • You must be physically present in a participating smart business park to use location-based features
  • You must register using a valid mobile phone number
  • You are responsible for keeping your device and OTP access secure
  • You are responsible for all activity that occurs under your account
  • You must not create more than one account per person

3. Paymera Services

Paymera provides a closed-loop digital wallet that allows users to earn, store, transfer, and redeem points exclusively within participating smart business parks. Points are not money, have no cash value, and cannot be exchanged outside the Paymera ecosystem.

  • Points can only be used at participating merchants
  • Points cannot be converted to cash or refunded
  • Points may expire based on merchant or campaign rules
  • We may modify or discontinue rewards programs at any time with reasonable notice
  • Point balances are non-transferable outside of the App's peer-to-peer transfer feature

4. Prohibited Activities

You agree not to engage in any of the following activities:

  • Creating multiple accounts or using false information to abuse promotions
  • Manipulating or exploiting the points system through fraudulent means
  • Using automation, bots, scripts, or other programmatic methods to interact with the App
  • Attempting to reverse engineer, decompile, disassemble, or tamper with the App
  • Interfering with or disrupting the integrity or performance of the App or its servers
  • Engaging in any unlawful activity or violating any applicable laws or regulations
  • Attempting to gain unauthorized access to other users' accounts or personal data

Violation of any prohibited activity may result in immediate account suspension or termination, forfeiture of points, and potential legal action.

5. Intellectual Property

All intellectual property rights in the App, including but not limited to the software, design, text, graphics, logos, icons, trademarks, and underlying technology, are and shall remain the exclusive property of Paymera Technologies LLC or its licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal mobile device solely for your personal, non-commercial use within participating business parks. You may not:

  • Sublicense, sell, distribute, or otherwise make the App available to any third party
  • Modify, adapt, translate, or create derivative works based on the App
  • Copy, reproduce, or duplicate any part of the App except as permitted by applicable law
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the App
  • Use the App or any of its content for commercial purposes without our prior written consent

6. Account Suspension and Termination

6.1 Termination by Paymera

We may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms, engaged in fraudulent activity, posed a security threat, or acted in a manner that is harmful to other users or the platform. Upon termination by Paymera, any unused points may be forfeited.

6.2 Account Deletion by User

You may delete your account at any time using the “Delete Account” option available within the App. For security purposes, you will be required to re-authenticate via OTP before the deletion process begins. Once confirmed, your account will become immediately inaccessible, and all associated personal data will be permanently deleted within seven (7) days. Please note that account deletion is irreversible, and any remaining points balance will be forfeited upon deletion.

7. Disclaimers and Limitations of Liability

7.1 Warranty Disclaimer

The App is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Paymera disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not guarantee uninterrupted or error-free access to the App, accuracy of point balances or rewards, or the continued availability of any participating merchant or business park.

7.2 Limitation of Liability

To the maximum extent permitted by law, Paymera and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of points, loss of data, loss of goodwill, or any other intangible losses, arising out of or in connection with your use of or inability to use the App.

7.3 Force Majeure

Paymera shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, civil unrest, power outages, internet or telecommunications failures, cyberattacks, or any other force majeure event.

8. Third-Party Services

The App may enable transactions with participating merchants and business park operators that are independent third parties. Paymera is not responsible for the products, services, content, policies, or practices of any third-party merchant or operator. Your interactions with participating merchants, including the redemption of points for goods or services, are solely between you and the merchant concerned.

Any links to third-party websites or services provided within the App are for convenience only and do not constitute an endorsement by Paymera. We are not liable for any loss or damage arising from your use of third-party services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Paymera Technologies LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

11. Changes to These Terms

We reserve the right to modify or update these Terms at any time. We will notify you of any material changes through the App or via the contact information associated with your account. The “Last Updated” date at the top of these Terms indicates when the most recent revisions were made.

Your continued use of the App after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the App and may delete your account as described in Section 6.2.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paymera regarding your use of the App and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

12.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

12.3 Waiver

The failure of Paymera to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Paymera.

12.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Paymera may assign or transfer its rights and obligations under these Terms without restriction.
